ASR Nederland N.V. (a.s.r.) publishes its 2022 annual report and climate report today. The integrated annual report covers both a.s.r.’s sustainability performance and its financial performance in 2022. This year, a.s.r. will once again publish a separate climate report with the aim of describing the principles and activities regarding climate for stakeholders. In the climate report, a.s.r. discusses the climate risks for its own activities, customers and society in general.
Jos Baeten, CEO of a.s.r.: ‘Today we present our Annual Report for 2022. It was a special year in many ways. Besides strong results, we show in this report that we have created sustainable value for our customers, our shareholders, our employees and for society. And of course, 2022 was the year in which we announced our intention to merge a.s.r. and Aegon Nederland. We therefore also look back on 2022 with pride and look forward to the period ahead.’

General Meeting of Shareholders
The Annual Report is scheduled for discussion at the General Meeting of Shareholders (AGM), to be held on 31 May 2023. In addition to the usual items, the agenda also includes the proposal to reappoint Ingrid de Swart as a member of the Executive Board. In accordance with the Articles of Association, her current first term expires at the end of this AGM. The Supervisory Board intends to reappoint Ingrid de Swart for a period of four years.
Also on the agenda will be the proposal to reappoint Gisella van Vollenhoven and Gerard van Olphen as members of the Supervisory Board. According to the retirement schedule, the current first term of both supervisory directors expires at the end of this AGM. The Supervisory Board intends to nominate Gisella van Vollenhoven and Gerard van Olphen for reappointment for a period of four years. Besides being a member of the Supervisory Board, Gisella van Vollenhoven also chairs the Remuneration Committee and is a member of the Nomination & ESG Committee. In addition to being a member of the Supervisory Board, Gerard van Olphen is also a member of the Audit and Risk Committee and Nomination & ESG Committee. Shareholders can vote on these reappointments at the AGM.
