ASR acquires Futurum and Het AssuradeurenHuys shares from Optima Groep
ASR and Optima have agreed that ASR will acquire shares of Futurum and Het AssuradeurenHuys. The transfer of shares guarantees business continuity for Futurum and Het AssuradeurenHuys.
Futurum Holding is a collaboration between Optima Groep and ASR, ASR being the minority shareholder. The collaboration was formed in 2008 when ASR sold its shares of insurance agency VerzekeringsUnie and administrator Support Verzekerd (previously PoliService) to Futurum.
The past few years, Optima Groep has been confronted with a severe decrease in income, caused by a decline in the mortgage market. As a consequence, the business continuity of Optima Groep was at risk.
In the interests of VerzekeringsUnie and PoliService policyholders, and in proper consultation with the Optima Groep Executive Board, the decision was made that ASR will acquire the remaining 75% of Futurum shares owned by Optima Groep. Because Futurum’s insurance portfolio is deeply intertwined with that of tied agency Het AssuradeurenHuys, also part of Optima Groep, the shares of Het AssuradeurenHuys are also included in this agreement.
The acquired shares will be included in ASR participations. At a later stage it will be decided if the activities of the three companies need to be restructured.
For now, the 97 employees of VerzekeringsUnie, PoliService and Het AssuradeurenHuys will continue to work at the Hardinxveld-Giessendam office, to ensure continuity of business.
