ASR Nederland N.V. (a.s.r.) today publishes the convocation and accompanying documents for the Annual General Meeting of Shareholders (AGM), scheduled for Wednesday, 20 May 2026 at 10.00 AM. The AGM will be held at the offices of a.s.r. in Utrecht.

Going forward, a.s.r. will consider not only climate, but also nature and biodiversity in its insurance and investment activities. These factors will play a role in decision-making on underwriting and investment. This is set out in the Climate and Nature Transition Plan published by a.s.r.

a.s.r. appoints Robert van der Schaaf, the current director P&C at a.s.r., as COO Non-life and member of the Management Board (MB) of a.s.r. As COO Non-life, Robert van der Schaaf will be responsible for Disability, P&C and Health. He will be appointed following the intended appointment of Ingrid de Swart as CEO of a.s.r., after the Annual General Meeting of Shareholders on 20 May.

ASR Nederland N.V. (a.s.r.) publishes its 2025 Annual Report today. In addition to the Annual Report, an update has been published of the climate transition plan introduced last year. The topic of nature has now also been added to that plan.

Marco Keim will be nominated as a member of the Supervisory Board (RvC) of ASR Nederland N.V. (a.s.r.). He will succeed Lard Friese as a non-independent member of the Supervisory Board, who was appointed in 2023 as a result of the transaction with Aegon Nederland. DNB has granted approval for the appointment.

ASR Nederland N.V. (a.s.r.) announces the initiation of a share buyback programme in line with the previously announced SBB programme presented during Capital Markets Day 2024.The execution of the € 175 million share buyback programme will be combined with the repurchase of shares for the management and the employee share plans for an amount of € 15 million, bringing the total repurchase volume to € 190 million.

ASR Nederland N.V. (a.s.r.) has reached an agreement with BOVAG on the full acquisition of all insurance activities of Bovemij N.V. (Bovemij). Customers will continue to receive advice and distribution of insurance products through the trusted Bovemij and ENRA brands. To facilitate this, BOVAG and a.s.r. will each hold a 50% stake in a new to be established joint venture.

Working at height involves significant risks; it is the leading cause of workplace accidents in construction, often with serious consequences for professionals and their families. To make these risks tangible, a.s.r. has introduced an innovative VR prevention tool. This tool enables professionals to experience realistic scenarios that clearly show what can go wrong when working at height. With this tool, a.s.r. contributes to a safer construction sector, with awareness and prevention as the bedrock.

Lard Friese has decided to step down as a member of the Supervisory Board of ASR Nederland N.V. (a.s.r.) in order to fully focus on his responsibilities at Aegon Ltd. Aegon Ltd will nominate a candidate to succeed him.

The Dutch Central Bank (DNB) has approved a.s.r.’s application for the use of a Partial Internal Model (PIM) for determining required capital under the Solvency II framework for the ASR Levensverzekering N.V. (a.s.r. Life) entity. This extends the use of the PIM from the Dutch Aegon Life entities to the a.s.r. Life entity and enhances a.s.r.’s overall risk management and capital efficiency.

The Supervisory Board (SB) of a.s.r. intends to appoint Ingrid de Swart as CEO and Chair of the Executive Board (EB) of ASR Nederland N.V. (a.s.r.). Jos Baeten has indicated that he is not available for a new term. His current term will end at the Annual General Meeting (AGM) on 20 May 2026.

As of 1 October 2025, the funeral insurance policies of De Onderlinge van 1719 U.A. have been transferred to a.s.r. The portfolio comprises approximately 2,200 in-kind funeral insurance policies with a total insured sum of around € 9 million. a.s.r. will take over the administration and ongoing service provision for these policies.

The Dutch Healthcare Authority (NZa) and the Netherlands Authority for Consumers and Markets (ACM) have granted approval for the acquisition of the remaining shares in Human Touch Holding B.V. As a result, a.s.r. now holds 100% of the shares in HumanTotalCare, thereby strengthening its position in the field of occupational health services and reintegration. This step aligns with a.s.r.’s strategy to pursue targeted acquisitions alongside organic growth. Financial details of the transaction will not be disclosed.

ASR Nederland N.V. (a.s.r.) repurchases 1,875,000 shares in the accelerated bookbuild by Aegon Ltd. (Aegon) that took place on 2 September 2025. This represents 15% of the offering. At the offer price of € 56.00 per share the repurchase amounts to a total amount of € 105 million and represents an impact of approximately -1.7%-points to the Solvency II ratio, which amounted to 203% at 30 June 2025.

ASR Nederland N.V. (a.s.r.) is committed to participate in the partial selldown of Aegon Ltd’s (Aegon) position in a.s.r. Today, Aegon announced that it intends to sell approximately 12.5 million shares or circa 6% of the total outstanding shares of a.s.r. in an accelerated bookbuild offering. a.s.r. commits to participate for 15% in the selldown up to a maximum of € 150 million, within the authorisation provided by the Annual General Meeting (AGM) and delivering on its commitment to support selldowns by Aegon.
