Today, ASR Nederland N.V. (a.s.r.) is publishing the convocation and the accompanying documents for the Annual General Meeting of Shareholders (AGM) that is scheduled for Wednesday 29 May 2024 at 10:00 a.m. The AGM will be held on that day at the office of a.s.r. in Utrecht.

ASR Nederland N.V. (a.s.r.) publishes its integrated annual report and the 2023 climate and biodiversity report today. The annual report covers both a.s.r.'s financial and non-financial performance in 2023. a.s.r. also publishes a separate climate and biodiversity report. a.s.r. will present the new strategic financial and non-financial objectives for the period 2024-2026 during the Capital Markets Day on 27 June.

ASR Nederland N.V. (a.s.r.) announces the final result of its invitation made to the holders of its outstanding €500,000,000 Fixed to Fixed Rate Undated Subordinated Notes (ISIN: XS1115800655) (“the Notes”) to tender their Notes for purchase by a.s.r. for cash (such invitation, “the Offer”).

ASR Nederland N.V. (a.s.r.) has successfully priced € 500 million perpetual subordinated 8.25 year Restricted Tier 1 capital securities (“New Securities”). The New Securities were priced at a fixed rate coupon of 6.625% per annum (payable semi-annually) until the first reset date on 27 June 2032. The New Securities are first callable six months prior to the first reset date and on each interest payment thereafter.

ASR Nederland N.V. (“a.s.r.”) announces today the intention, subject to market conditions, to issue benchmark Euro denominated perpetual subordinated Restricted Tier 1 capital securities (“New Securities”). The New Securities allow for a temporary write-down subject to conditions as reflected in the offering memorandum prepared in connection with the New Securities. a.s.r. has mandated ABN AMRO, Barclays, BNP PARIBAS, BofA Securities and HSBC to act as Joint Lead Managers on its intended issuance, with HSBC acting as Structuring Agent.

ASR Nederland N.V. will nominate Bob Elfring as a new member of the Supervisory Board at the Annual General Meeting of Shareholders (AGM) on 29 May 2024. Bob Elfring succeeds Herman Hintzen, who has completed his second term.

On 22 January 2024, ASR Nederland N.V. (a.s.r.) announced the share buyback programme for the employee share plan for 300,000 shares. The buyback program was completed on 7 February 2024.

Today, ASR Nederland N.V. (a.s.r.) announces that it has reached an agreement to sell Knab to BAWAG Group AG (BAWAG) for an amount of € 510 million (the Transaction).

ASR Nederland N.V. (a.s.r.) announces the repurchase of ordinary shares in the amount of 300.000 shares. These shares are repurchased for the share plan for employees of a.s.r.

Consumers expect a dichotomy in the housing market now that the maximum mortgage amount has become partly dependent on the home's energy label. More than half of homeowners and prospective buyers think that homes with good labels will become even more expensive, while poorly insulated homes will decrease in value. This is according to research conducted by Motivaction for a.s.r. among a thousand homeowners and tenants in the free sector.

Aegon Ltd. has officially signed over Aegon's art and historical collection as a gift to Stichting Kunst en Historisch bezit a.s.r Nederland The collection will be merged with the existing a.s.r. collection to form the Stichting Kunst & Historisch Bezit a.s.r. & Aegon, which was renamed to reflect the combination. The agreement now brings more than 1,000 works of art into the ownership of the foundation and increases the total art collection to approximately 2,500 pieces.

It is the fourth time that a.s.r. has been included in the Dow Jones Sustainability World Index (DJSI World Index) and in the Dow Jones Sustainability Europe Index (DJSI Europe Index), the indices that monitor companies for sustainability on a global and European level. With the inclusion in the DJSI World Index a.s.r. ranks amongst the 10% most sustainable insurers worldwide.

75% of Dutch people felt the effects of high inflation on healthy living habits last year. For instance, a third (34%) cancelled their gym subscriptions and over a quarter (27%) ate less healthily because of the rising cost of living. An increase compared to 2022, when these effects were felt by two-thirds of the Dutch population. This is according to a representative sample of the Dutch population by a.s.r. this autumn.

ASR Nederland N.V. (a.s.r.) successfully launched and priced a € 600 million green senior debt instrument. The green senior bond has a maturity of 5 years. The bond was priced at 100 basis points over 5 year mid-swap rate, with a fixed rated coupon of 3.625%. The green senior bond offering is the inaugural issuance under the a.s.r. Green Finance Framework.

Today, ASR Nederland N.V. (‘a.s.r.’) has the intention, subject to market conditions, to issue a Euro denominated green senior bond, following investors calls commencing on Monday 4 December 2023. The senior Notes will have a fixed-rate coupon. The Senior Notes offering is a.s.r.’s inaugural Green Bond issue under its Green Finance Framework and confirms a.s.r.’s sustainable profile.
